Jessica M. Lockett, a member in good standing of the State Bar of California, is a corporate and transactional attorney with experience representing private and public corporations. Ms. Lockett’s practice focuses primarily in the areas of corporate transactional law, securities, general business and contract matters. Ms. Lockett earned her J.D., cum laude, from Thomas Jefferson School of Law in 2012. Ms. Lockett received the CALI and Witkin Awards for her work in Securities Regulations from Cal Western School of Law and received the Jefferson Fellow Dean’s Scholarship while at Thomas Jefferson. Prior to law school, Ms. Lockett graduated from the University of Arizona with a Bachelor of Arts in Psychology with a law minor.
Ms. Lockett has represented a broad range of public and private companies at various stages of development with corporate entity formation and maintenance, corporate governance, securities regulations compliance matters, and merger and acquisition transactions. Ms. Lockett assists clients in the preparation and filing of 1933 Act and 1934 Act Registration Statements, including Form 10, S-1, S-8, and S-4 and with ongoing reporting compliance including Form 10-K, 10-Q, 8-K, annual/special shareholder meetings (Schedule 14A and 14C), fundraising under REG D and Blue Sky filings with state regulatory authorities. Ms. Lockett also is skilled in filing corporate actions with the Financial Industry Regulatory Authority (FINRA) and assists publicly-traded companies to join and maintain their listings on various exchanges and marketplaces.
